These Terms of Service, along with the “How it Works” page of our website (together, the “Terms”) govern your participation in the Insider Referral Program (“Program”). We reserve the right to update, amend, or suspend the Program or these Terms at any time, at our sole discretion. By participating in the Program, you agree to be bound by these Terms&Conditions below.

1. Referral Fees. Subject to these Terms, we, relevant Insider Group entity, shall pay you the applicable referral fees. You are solely responsible for reporting and paying any taxes that may apply to any Referral Fees.
2. Maximum Fees. Unless otherwise approved by us in writing, the total referral fee we will pay to you is limited to USD $20,000.00 in aggregate.
3. Two (2) day trip to Istanbul. To be eligible for this prize, you must submit a minimum of seven (7) valid referrals within a single calendar year. One (1) winner will be selected at Insider’s sole discretion and notified via email. The prize includes a round-trip flight and one (1) night of accommodation in Istanbul, arranged and paid for by Insider. Travel arrangements will be made from a reasonable location based on the winner’s place of residence. The prize is non-transferable and may not be exchanged for cash or any other benefit.
4. A meeting will only be considered if it takes place after an initial discovery meeting. The demo meeting must be a second (2nd) meeting where an Insider’s sales representative delivers a tailored, problem-solving product demonstration addressing to the prospect’s specific business goals and challenges. It should highlight the platform’s capabilities in the context of the prospect’s use cases, confirm mutual alignment, and drive the deal forward by securing next steps or stakeholder engagement.
5. Eligibility. To be eligible for the referral fee you must 1) cooperate with us to introduce us to an Approved Lead at a target company (CEO/Founder/Director or above or a decision maker specifically approved by Insider, with such individual being an “Approved Lead” 2) that Approved Lead must take a demo with us 3) you must be the first person to introduce us to the Approved Lead and 4) ensure that the Approved Lead uses your unique referral link to book the demo. If two people introduce us to the same Approved Lead, we reserve the right, in our sole discretion, to determine to whom the referral fee should be paid. It is your responsibility to ensure that your participation in the Program does not violate any applicable laws, employer policies, or institutional restrictions.
6. Payment Terms. Referral fees are paid to you within fifteen (15) to forty-five (45) days maximum after the Approved Lead you introduced completes a demo. All Referral Fees will be paid in US Dollars via Visa Gift Card, however we reserve the right to change the payment method at any time. We may delay or withhold payment until all applicable tax and identity verification requirements are met, including submission of relevant forms (such as W-9 or W-8BEN, if applicable). 
7. Restrictions. You shall not: (a) sell, resell, distribute, license or sublicense our products directly to any lead, (b) make any statements concerning our products that are false or misleading; (c) distribute any unsolicited bulk emails (spam) mentioning or referring to our products; or (d) use fake identities, automation tools, or submit multiple referrals in an attempt to gain an unfair advantage. We reserve the right to disqualify any participant and withhold rewards if we determine, in sole discretion, that any of the above restrictions have been violated or that abuse, fraud, or other prohibited behavior has occurred. Additionally, you have no authority to (i) negotiate any contract on our behalf; (ii) represent yourself as our agent, or (iii) bind us to any contract, representation or understanding concerning us or our products, or any other products or services offered by us. This Program is not open to current Insider employees or their immediate family members. In addition, you may not participate in the Program if it, or any of its terms, conflicts with any agreement, policy, or restriction applicable to you, including those adopted by your employer. You may also not be eligible if receiving rewards of this type is restricted under your local laws.
8. Data Privacy and Consent. By participating in the Insider Referral Program, you confirm that any personal data you provide (including that of the referred party) is submitted with the referred person’s prior knowledge and explicit consent. You acknowledge that you are independently responsible for ensuring that such disclosure is lawful under applicable data protection laws (e.g., GDPR, CCPA, PDPA). Insider processes all personal data in accordance with its Privacy Policy, and reserves the right to request evidence of consent from the referring party if necessary.
9. Indemnity. You agree to indemnify, defend, and hold us and our subsidiaries, affiliates, officers and employees harmless from and against any and all liabilities, losses, damages, costs, fees, and expenses (including reasonable legal fees) arising from your violation of these Terms or any claims related to your violation of the same including, without limitation, any breach of the restrictions set out in Section 7 or data protection obligations described in Section 8.
10. Governing Law; Arbitration and Jurisdiction. These Terms are governed by the laws of the jurisdiction where the relevant Insider Group entity administering this Program is established, unless otherwise required by mandatory rules of local law. Any dispute or claim arising out of or in connection with these Terms or the Program shall be resolved, to the extent permitted by law, through binding individual arbitration conducted in English. The arbitration shall be administered by an internationally recognized institution (such as ICC or AAA), and the seat of arbitration shall be the jurisdiction of the relevant Insider Group entity, or another location mutually agreed by the parties. This Program is commercially intended, and you agree to resolve any dispute individually and not as part of any class, collective, or representative proceeding. Unless otherwise agreed, the arbitrator shall not consolidate claims from multiple individuals. If arbitration is not enforceable under applicable laws, then the courts located in the jurisdiction of the relevant Insider Group entity shall have exclusive jurisdiction over any such claims.
11. Relationship of the Parties. Participation in the Program does not create any agency, partnership, employment, or other legal relationship between you and Insider. You are not authorized to act on behalf of Insider in any capacity, and no such authority is granted or implied.
